1. Website Use

You agree to use this Site only for lawful purposes. You may not:

• violate any applicable laws or regulations;
• attempt to gain unauthorized access to the Site or related systems;
• interfere with the Site's operation or security;
• upload harmful code or malware;
• copy, scrape, modify, or misuse Site content without permission;
• submit false, misleading, or unlawful information.

2. Product Information

All content on this Site is provided for general informational purposes only. Product descriptions, technical information, and service information are not guarantees of performance unless expressly stated in a separate written agreement.

Unless otherwise stated in product documentation, Vesobio products are intended for research use only and are not intended for human, therapeutic, diagnostic, food, drug, device, or cosmetic use.

Customers are solely responsible for determining whether a product is suitable for their intended use and for complying with all applicable laws and regulations.

3. Orders and Acceptance

All orders are subject to acceptance by Vesobio. We reserve the right to reject or cancel any order for any lawful reason, including product unavailability, pricing errors, suspected fraud, or export restrictions.

Custom, made-to-order, and special-order items may be subject to additional conditions and are generally non-cancelable and non-returnable unless otherwise agreed in writing.

4. Pricing, Taxes, and Payment

All prices are listed in U.S. dollars unless otherwise stated. Prices do not include shipping, handling, insurance, taxes, duties, customs fees, or similar charges unless expressly stated.

For orders shipped to California, applicable California sales tax or use tax reimbursement will be added where required by law.

For orders shipped outside California, Vesobio generally does not collect sales tax, use tax, VAT, GST, or similar taxes unless required by law. Customers outside California are solely responsible for paying any local sales tax, use tax, VAT, GST, import duty, customs fee, or other governmental charge applicable to their purchase.

If you claim tax-exempt status, you must provide valid exemption documentation before shipment.

Unless otherwise agreed in writing, payment terms are Net 30 days from invoice date. We may suspend shipments, require prepayment, or modify credit terms for past-due accounts.

5. Shipping and Delivery

Delivery dates are estimates only and are not guaranteed. Vesobio is not responsible for shipping delays caused by carriers, customs, weather, or other events beyond our reasonable control.

Unless otherwise agreed in writing, title and risk of loss pass to the customer when products are delivered to the carrier at our shipping point.

Customers are responsible for shipping, handling, and any special packaging charges unless otherwise agreed.

6. Inspection and Claims

Customers must inspect products promptly upon receipt.

Claims for shortage, damage, incorrect shipment, or other visible issues must be reported to Vesobio in writing within three (3) business days of delivery. If no notice is received within that period, the shipment will be deemed accepted.

7. Returns

No product may be returned without prior written authorization from Vesobio and a return merchandise authorization number ("RMA").

Non-Returnable Items

The following items are generally non-returnable unless required by law or due to Vesobio's error:

• custom, made-to-order, or special-order products;
• products requiring refrigerated, frozen, or other special handling;
• perishable products;
• opened, used, altered, or damaged products;
• discontinued or final-sale items.

Approved Returns

If Vesobio approves a return, the product must be returned in original condition and suitable for resale.

Returns not caused by Vesobio's error are subject to a restocking fee of 25% of the product price or US$25, whichever is greater. Original shipping and handling charges are non-refundable. The customer is responsible for return shipping costs unless the return is due to Vesobio's error.

Returns for credit or refund will generally not be accepted more than twenty (20) days after delivery unless otherwise approved in writing.

8. Limited Warranty

Vesobio warrants to the original direct purchaser that its products will substantially conform to Vesobio's published specifications until the stated expiration date, if any, or, if no expiration date is stated, for six (6) months from delivery.

This warranty does not apply to products that have been misused, improperly stored, modified, relabeled, or used contrary to instructions.

If a product fails to conform to this limited warranty, Vesobio may, at its option:

• replace the product;
• issue a credit; or
• refund the purchase price actually paid for the affected product.

This is the customer's sole and exclusive remedy.

9. Disclaimer of Other Warranties

Except for the limited warranty above, the Site and all products are provided "as is" and "as available." To the fullest extent permitted by law, Vesobio disclaims all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the fullest extent permitted by law, Vesobio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity arising from use of the Site or purchase or use of any product.

Vesobio's total liability for any claim related to a product purchase shall not exceed the amount actually paid for the product giving rise to the claim, or US$100, whichever is greater.

11. Intellectual Property

All content on this Site, including text, graphics, logos, product names, images, downloads, and trademarks, is owned by Vesobio or its licensors and is protected by applicable intellectual property laws.

You may use Site content only for your own internal, non-commercial informational purposes. No other use is permitted without prior written permission.

12. User Submissions

If you submit information through the Site, including contact forms, quote requests, or resumes, you represent that:

• the information is accurate;
• you have the right to provide it;
• it does not violate any law or third-party rights.

Please do not submit confidential, proprietary, patient-related, clinical trial, or regulated sensitive information through the public Site unless expressly requested through an approved secure process.

13. Third-Party Links

This Site may contain links to third-party websites for convenience. Vesobio is not responsible for the content, policies, or practices of third-party sites.

14. Privacy

Your use of the Site is also subject to our Privacy Policy, which is incorporated into these Terms by reference.

15. Governing Law and Venue

These Terms, and any dispute arising from the Site or any purchase from Vesobio, are governed by the laws of the State of California, without regard to conflict of laws rules.

Any legal action relating to these Terms or any product purchase shall be brought exclusively in the state or federal courts located in California.

16. Changes to These Terms

We may update these Terms from time to time. Any revised version will be posted on this page with an updated "Last Updated" date. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
